Terms of Service

Terms and conditions for using the LULA-SOFT website and agency services. Please read before using our site.

This document is an MVP template aligned with Israeli law references. It does not constitute legal advice. Review by licensed counsel in Israel is recommended before production use.

1. Acceptance of Terms

By accessing or using the LULA-SOFT website and related digital services (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site. We may update these Terms from time to time; continued use after changes constitutes acceptance where permitted by law.

2. Definitions

  • Agency: LULA-SOFT, a digital agency operating in Israel.
  • Site: this website and associated pages, forms, and content.
  • Services: web design, development, SEO, branding, and related professional services offered by the Agency.
  • User: any person or entity accessing the Site or submitting information through it.
  • Client: a User who enters into a separate service agreement with the Agency.

3. Eligibility

You must be at least eighteen (18) years old and have legal capacity to enter into binding agreements under applicable law. By using the Site, you represent that you meet these requirements.

4. Permitted Use

You may use the Site for lawful purposes only: browsing content, submitting legitimate inquiries, reading policies, and engaging with published testimonials. You must not interfere with Site operation, attempt unauthorized access, scrape content in violation of these Terms, or use the Site for unlawful, fraudulent, or harmful activities.

5. Prohibited Conduct

Users shall not: upload malicious code; impersonate others; harvest personal data without consent; spam contact forms; infringe intellectual property; or violate the Privacy Protection Law, 5741-1981 or other Israeli law.

6. Intellectual Property

Site content, branding, layouts, and Agency materials are protected by copyright and other rights owned by LULA-SOFT or licensors. Client-specific deliverables are governed by separate written agreements. You may not copy, modify, or distribute Site content without prior written consent except as allowed by law.

7. Service Engagements

Descriptions on the Site are informational. Binding service terms—including scope, fees, timelines, and deliverables—are set out in separate proposals, statements of work, or contracts signed with Clients. Nothing on the Site constitutes a binding offer until confirmed in writing.

8. Disclaimers

The Site and content are provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by Israeli law. We do not guarantee uninterrupted access, error-free operation, or that content is complete for every jurisdiction.

9. Limitation of Liability

To the maximum extent permitted by the laws of the State of Israel, LULA-SOFT shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Site. Our aggregate liability for Site-related claims shall not exceed one hundred (100) USD or the amount paid by you to us for Site-related services in the twelve (12) months preceding the claim, whichever is greater, except where liability cannot be limited by law.

10. Indemnification

You agree to indemnify and hold harmless LULA-SOFT, its officers and contractors from claims arising from your misuse of the Site, violation of these Terms, or infringement of third-party rights, subject to applicable Israeli law.

11. Termination

We may suspend or restrict access to the Site at any time for maintenance, security, or violation of these Terms. Provisions that by nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) shall survive.

12. Consumer Protection

Where you qualify as a consumer under the Consumer Protection Law, 5741-1981, mandatory rights under Israeli consumer legislation apply and are not waived by these Terms to the extent prohibited by law.

13. Governing Law

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules that would apply another jurisdiction.

14. Jurisdiction

Exclusive jurisdiction for disputes relating to these Terms or the Site lies with the competent courts in Israel, subject to mandatory consumer venue rules where applicable.

15. Severability and Entire Agreement

If any provision is held invalid, the remainder remains in effect. These Terms, together with the Privacy Policy and any signed Client agreement, constitute the entire agreement regarding Site use unless otherwise stated in writing.
